Local Authorities – Ongoing handling of local council affairs and local committee affairs for agricultural settlements, kibbutzim and moshavim; legal counsel and handling of preparation of tenders; representation of local authorities in legal proceedings, including administrative and Supreme Court petitions; representation of local authorities in municipal tax (arnona) and sewage appeals and objections; accompanying of commercial initiatives on the part of authorities within the activities of a financial corporation; accompanying water and treated waste-water projects vis-à-vis the Water Commission, and establishment and accompanying of water and sewage corporations; representation of authorities in prosecution proceedings for business licensing; ongoing counsel to Friendly Societies (Amutot) under local council management, including community centers, centers for the elderly, cultural, educational, sports and welfare organizations under the auspices of the local council and more. As part of such ongoing counsel to Amutot the office handles receipt and recognition of NPO (not-for-profit organization) status, changes in regulations and objectives, drawing up of financing and indemnification documents and employees’ rights, and is involved in all of the Amuta’s activities.
Cooperative Societies, Regional Committees, Kibbutzim and Moshavim – handling of mutual relationships between kibbutzim and moshavim and their members; pension arrangements for kibbutz and moshav members; structural changes, including the adaptation of kibbutz and moshav regulations to such changes; establishment of kibbutz and moshav corporations and ongoing legal accompaniment thereof; examination of Amutot and representation of the Registrar of Friendly Societies in liquidation proceedings. We specialize in applying and customizing legal measures to the special needs of kibbutzim and their members, and are able to offer further assistance through clear explanations of such changes to office holders, kibbutz secretaries and at members’ meetings.
The kibbutz legal framework
We accompany amendments to the regulations of many kibbutzim, and help shape and alter the resolutions of internal kibbutz meetings and procedures, including the handling of the organizational-legal structure of the kibbutz, the definition of office holders’ roles and so forth.
The commercial-corporate aspect
We offer accompaniment and advice in carrying out commercial, civil and agricultural transactions on kibbutzim, including setting in place accompaniment for commercial and agricultural corporations, accompanying transactions and directing negotiations, drawing up commercial contracts, handling real estate transactions, changes in the designation of land for residential and commercial building.
Representation in legal proceedings
We handle legal claims in courts at all levels, arbitration and mediation in various areas, including the environment, water-related problems, Supreme Court appeals, claims of members and former members against kibbutzim, claims in the family court, criminal cases against members and against kibbutzim.
Ownership of apartments, intake of next generation and members
Our office accompanies the many aspects of designation of apartment ownership for a large number of kibbutzim, including accompanying the process on the kibbutz, the intake of younger and “next generation” members, community growth, planning and building aspects of the kibbutz, options for community expansion (pursuant to resolutions 751, 737, 959 or others).
Contracts, Companies – the drawing up of commercial contracts and founders’ agreements, the establishment of corporations, liens, handling of shares and company capital. We further handle the realization of liens on company assets, receivership and liquidation thereof, including proof of debt proceedings; also the realization of mortgaged real estate assets. We likewise specialize in the establishment of clusters of urban financial companies designed to conduct business in a variety of areas.
Land, Real Estate – in this area our firm offers full legal accompaniment in real estate transactions, whether for the residential, commercial, industrial or tourist market. We also handle proceedings in designating ownership of apartments for kibbutz members and expanding communal neighborhoods on kibbutzim and moshavim, commercial and tourism real estate transactions in the Keshet project (a tri-sector project of Sheatufim, the Israel Center for Civil Society), and on Kibbutz Einat, in the scope of tens and hundreds of dunams (1 dunam = 0.25 acre). We handled the contractual, commercial and real estate aspects of the establishment of a large-scale pensioners’ village; and we are currently involved in combination transactions for residential purposes, as well as the absorption of villages from the Gush Katif region into agricultural projects in other settlements.
Tenders – we represent participants in tenders in legal proceedings against tender publishers, including legal advice on tenders to local authorities and their representation in administrative petitions.
Water and Sewage Corporations – legal accompaniment in sewage tax and fee collection proceedings for local authorities; water and sewage levy rates and the calculation thereof; appeals pertaining to the payment of sewage levies; representation in appeal proceedings against demand for payment of sewage levies and charges.
Mediation and Arbitration – representation in mediation and arbitration proceedings. Eitan Maimoni, Adv., acts as arbitrator in many cases within his area of expertise and is an official appointee of the Registrar of Cooperative Societies in disputes concerning kibbutzim, moshavim and their members. Collection and Execution – implementation of collection proceedings pursuant to court verdicts and in the case of banknotes and checks, including receivership, and their exercise for collection purposes, including receivership of movable effects such as goods, inventories and shares.
